Q1 Market Outlook
2025 Market: What the Numbers Tell Us

The U.S. business-for-sale market found its footing in 2025, with total enterprise value reaching $7.95 billion — a 3% increase over 2024 — even as transaction volume remained essentially flat. According to BizBuySell’s annual Insight Report, the median sale price rose 2% to $350,000, while median cash flow climbed 3% to $158,950 and median revenue hit $703,000.

The year had its share of turbulence. Transactions dipped early amid inflation concerns, rebounded sharply in Q3 as owners moved to lock in valuations, then softened again in Q4 when a government shutdown disrupted SBA loan processing. As I saw firsthand in Oklahoma business sales, many of those delayed deals simply rolled into 2026.

A Divided Market

Not all businesses fared equally. Service businesses led the way, with transaction volume up 4% and median sale prices rising 5% to $340,000. Financial services, technology, and architectural firms posted particularly strong gains. Retail struggled, with median sale prices slipping 2% and cash flow down 3%. Restaurants saw deal volume fall 5% as rising food costs and labor pressures compressed margins, while manufacturing took the hardest hit — transactions down 11% and median sale prices off 7% — as tariffs and supply chain uncertainty kept buyers on the sidelines.

The common thread? Businesses that could pass rising costs on to customers maintained strong valuations. Those that couldn’t saw them erode.

Who’s Buying — and Why

The buyer pool has never been more diverse, or more competitive. Private equity firms increased their activity in Oklahoma Business Sales, with 44% of brokers reporting a more prominent PE presence. However, PE buyers bring complexity — only 12% move faster than individual buyers, and many owners remain skeptical. Only 14% say they would “definitely” sell to a PE firm.

Meanwhile, MBA-trained searchers pursuing Entrepreneurship Through Acquisition (ETA) are a growing force, bringing analytical rigor but sometimes limited operating experience. And perhaps most notably, 44% of buyers now identify as “corporate refugees” — mid-career professionals leaving traditional employment to own something of their own. Many are motivated in part by concerns about AI displacing their roles, with 28% of that group citing job automation anxiety as a factor in their decision.

The result is fierce competition for quality listings. Well-run businesses are going under contract in weeks — two to three times faster than normal.

AI Is Reshaping the Market

AI’s influence now runs in both directions. Among current business owners, 65% report using AI in operations — most commonly in marketing, analytics, and customer service — and 83% say it has improved performance.

For buyers, AI adoption is becoming a valuation signal. One-third of buyers view AI-enabled businesses as more valuable and more resilient. Others see the absence of AI as an opportunity — a chance to acquire a solid business and immediately improve margins through smarter systems. Either way, AI is no longer a footnote in due diligence. It’s a line item.

Inflation, Tariffs, and Policy Uncertainty

Macro pressures remain real. Seventy-eight percent of owners report rising expenses, and more than half have raised prices in response. Tariffs are causing 28% of owners to delay major purchases, while labor challenges persist — 45% report difficulty hiring or retaining staff.

Sentiment toward the current federal policy environment is split nearly evenly: 49% of owners feel more optimistic than last year, 33% feel less so. Uncertainty itself may be the defining characteristic of this moment.

What to Expect in for Oklahoma Business Sales in 2026

Bockus Consulting is cautiously optimistic for Oklahoma business sales. Eighty percent expect deal volume to rise over the next six months, driven by continued buyer demand and a wave of Baby Boomer retirements pushing more owners to market — Boomers already represent the majority of listings for nearly half of all brokers.

Despite all the headlines about interest rates, 71% of brokers say rate cuts have had no noticeable effect on buyer behavior. The real drivers remain what they’ve always been: business performance, buyer readiness, and personal timing.

For sellers, the message is to prepare now — clean financials, documented processes, reduced owner dependence. For buyers, come ready: pre-qualified, decisive, and focused on operational potential, not just today’s cash flow.

The businesses that attract buyers in any market are the ones built to last. That hasn’t changed.

As Oklahoma’s authority in business brokering and appraisals, I help owners navigate these market shifts—ensuring they walk away with the maximum value and a smooth closing.
